1. Acceptance of Terms

By accessing and using FiscalNova's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

FiscalNova provides professional financial auditing services including but not limited to:

• Financial statement audits
• Tax compliance audits
• Internal audit reviews
• Regulatory compliance assessments
• Financial consulting services

3. Client Responsibilities

Clients engaging our services agree to:

• Provide accurate and complete financial information
• Grant reasonable access to records and personnel
• Respond promptly to requests for information
• Pay fees according to agreed terms
• Maintain confidentiality of our audit procedures
• Comply with all applicable laws and regulations

4. Professional Standards

FiscalNova conducts all audits in accordance with:

• Canadian Auditing Standards (CAS)
• Generally Accepted Auditing Standards (GAAS)
• Professional ethics and independence requirements
• Applicable regulatory frameworks

5. Fees and Payment

Service fees are determined based on scope, complexity, and time requirements. Payment terms include:

• Fees are due within 30 days of invoice date
• Late payments may incur interest charges
• Disputed amounts must be raised within 10 days
• Services may be suspended for overdue accounts

6. Confidentiality

We maintain strict confidentiality regarding all client information and agree to:

• Protect confidential information from unauthorized disclosure
• Use information solely for providing contracted services
• Return or destroy confidential materials upon request
• Maintain confidentiality even after engagement termination

7. Limitation of Liability

Our liability is limited to the fees paid for the specific engagement. We shall not be liable for:

• Consequential or indirect damages
• Loss of profits or business opportunities
• Damages exceeding the engagement fee
• Third-party claims or actions

8. Intellectual Property

All methodologies, templates, and work products developed by FiscalNova remain our intellectual property. Clients receive a license to use audit reports for their intended business purposes.

9. Termination

Either party may terminate an engagement with written notice. Upon termination:

• All outstanding fees become immediately due
• Confidentiality obligations continue
• Work products completed to date will be delivered
• Both parties are released from future obligations

10. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, government actions, or other unforeseeable circumstances.

11. Governing Law

These terms are governed by the laws of Ontario, Canada. Any disputes shall be resolved through binding arbitration or in the courts of Ontario.

12. Modifications

These terms may be updated periodically. Continued use of our services after modifications constitutes acceptance of the updated terms. Material changes will be communicated to active clients.
